Welcome to Nipponflex LLC (operating as E-Energy USA). By accessing or purchasing from our website (e-energyusa.com), you agree to be bound by the following Terms of Service ("Terms"). Please read them carefully.

1. Medical Disclaimer & Product Nature

Before using our products, you must acknowledge the following:

  • Wellness Products: Our products (mattresses, magnetic technologies, infrared) are classified as general wellness and comfort items. They are NOT medical devices and have not been evaluated by the FDA (Food and Drug Administration) to diagnose, treat, cure, or prevent any disease or medical condition.
  • No Medical Advice: All content on this site is for informational purposes only. Nothing herein substitutes professional medical advice, diagnosis, or treatment.
SAFETY WARNING: Persons with pacemakers, defibrillators, insulin pumps, or other battery-operated electro-medical devices MUST NOT use products containing magnets. Nipponflex LLC disclaims liability for misuse or failure to heed this warning.

2. Sales, Referrals & Associates

You acknowledge that the Nipponflex LLC website may be accessed directly or through referral links shared by our Sales Partners, Affiliates, or Independent Distributors (collectively referred to as "Associates").

2.1. Referral Nature

When you make a purchase associated with a referral code or link, you acknowledge that the Associate responsible for the referral may receive a commission or financial incentive for the sale. This constitutes a standard commercial referral relationship.

2.2. Independent Contractor Status

Our Associates are independent third parties and are NOT employees, agents, or legal representatives of Nipponflex LLC. No employment relationship exists between Nipponflex LLC and its Associates.

2.3. Limitation of Authority

Associates do not have the authority to make any representations, warranties, or promises (medical or financial) on behalf of Nipponflex LLC. The company is not responsible for any claims made by third parties that contradict the official information contained on this Site. The final contract of purchase and warranty is strictly between you and Nipponflex LLC.

3. Purchase & Return Terms

By purchasing from us, you agree to our Return & Refund Policy, incorporated herein by reference:

  • No Sleep Trial: You explicitly acknowledge that we do not offer a Sleep Trial for mattresses. Mattresses that have been opened or unrolled are considered "Final Sale".
  • Restocking Fee: You agree that returns of eligible (sealed) mattresses are subject to a 10% Restocking Fee deducted from the refund.
  • Custom Items: Made-to-measure or customized products are non-refundable.

4. Limitation of Liability

You agree that Nipponflex LLC, its licensees, licensors, and affiliates shall not be liable for any damages whatsoever, including but not limited to direct, indirect, incidental, special, consequential, exemplary, or punitive damages, such as damages for lost profits or loss of goodwill, use, or data (even if Nipponflex LLC has been advised of the possibility of such damages), that result from:

  • (a) Your use of or inability to use the Nipponflex LLC website;
  • (b) Access to or alteration of your personally identifiable information or other information in an unauthorized matter;
  • (c) Representations or conduct of any third party (including Independent Distributors/Associates) related to the website; or
  • (d) Any other matter relating to the website.

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you. Your sole remedy for dissatisfaction with the website is to stop using the website. Our liability to you for any cause whatsoever, regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Nipponflex LLC for the service, information, or product on which such cause of action is based.

NIPPONFLEX LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND.

NIPPONFLEX LLC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NIPPONFLEX LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF NIPPONFLEX LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

6. Termination & Access Restriction

Nipponflex LLC reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice.

  • Governing Law: To the maximum extent permitted by law, this agreement is governed by the laws of the State of Georgia, USA, and you hereby consent to the exclusive jurisdiction and venue of courts in Georgia in all disputes arising out of or relating to the use of the Site.
  • Compliance: Nipponflex LLC’s performance of this agreement is subject to existing laws and legal processes, and nothing contained in this agreement is in derogation of Nipponflex LLC’s right to comply with governmental, court, and law enforcement requests.
  • Severability: If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
